The Venue at Ruby’s Rental Agreement

*Please review the following Rental Agreement carefully. Your reservation is not confirmed until this agreement is completed and the required $799 reservation payment has been received.

THE VENUE AT RUBY’S RENTAL AGREEMENT

Please read this Rental Agreement carefully before signing.

This Rental Agreement is entered into between JSW Management LLC / The Venue at Ruby’s, hereinafter referred to as the “Venue,” and the individual completing and signing this Agreement, hereinafter referred to as the “Renter.”

This Agreement applies to the rental package, event date, access times, selected add-ons, confirmed booking total, and other booking details selected by the Renter during the reservation process. Those confirmed booking details are incorporated into this Agreement.

The event date is not reserved or confirmed until this Agreement has been completed and signed and the applicable reservation payment has been successfully received: $799 for the Signature Event Rental or $899 for the Wedding & Reception Experience.

1. RENTAL PACKAGES
Ruby’s Signature Event Rental

The Signature Event Rental is intended for birthdays, baby showers, bridal showers, graduations, corporate gatherings, celebrations, and other private events.

Saturday Rental: $2,395


Standard Venue Access:9:00 AM to 11:00 PM

Sunday Rental: $1,795


Standard Venue Access:9:00 AM to 10:00 PM

The Signature Event Rental includes use of the Main Hall, Entrance Foyer, Elevator, Restrooms, Kitchen, Venue-provided tables and chairs, and designated outdoor areas approved for event use.

Wedding & Reception Experience

Rental Price: $2,895

The Wedding & Reception Experience is specifically intended for weddings, wedding ceremonies, wedding receptions, and events primarily held in celebration of a marriage.

The Wedding & Reception Experience includes the Venue access period shown in the confirmed reservation, an included Friday setup window subject to scheduling, wedding planning guidance, Venue-provided tables and chairs, designated outdoor ceremony-area access, flexible floor-plan options, preferred vendor recommendations, a wedding planning checklist, and event-day timeline guidance.

Wedding planning guidance does not include full-service wedding coordination, décor installation or removal, linen placement, vendor management, event staffing, catering services, or other services unless separately agreed to in writing.

2. EVENT TYPE & PACKAGE ELIGIBILITY

The Signature Event Rental may not be booked or used for a wedding, wedding ceremony, wedding reception, or event primarily held in celebration of a marriage.

All such events must be booked under the Wedding & Reception Experience regardless of how the event is titled or described.

If the Venue determines that an event booked under the Signature Event Rental is actually a wedding, wedding reception, or marriage-related celebration, the Venue may reclassify the reservation to the Wedding & Reception Experience.

The applicable package price difference will become immediately due and must be paid before the event may take place.

Intentional or material misrepresentation of the event type may also result in cancellation of the reservation when reasonably necessary to protect the Venue or enforce this Agreement.

3. RESERVATION PAYMENT & REMAINING BALANCE

A reservation payment is required to secure the event date.

Signature Event Rental Reservation Payment: $799

Wedding & Reception Experience Reservation Payment: $899

The applicable reservation payment is applied toward the total rental price.

The Renter may cancel within 48 hours of the successful reservation payment and receive a refund of the applicable reservation payment.

After the initial 48-hour period, the applicable reservation payment becomes non-refundable, subject to any rights that cannot legally be waived.

The remaining balance will equal the Renter’s confirmed booking total, including selected add-ons and approved additional charges, minus the applicable reservation payment.

The remaining balance is due no later than 14 days before the event unless otherwise agreed to in writing.

Failure to pay the remaining balance by the required deadline may result in cancellation of the reservation and loss of amounts that are non-refundable under this Agreement.

Clients may elect to pay the full balance earlier.

The same reservation requirements apply whether the booking is completed online or in person. 4. $500 SECURITY AUTHORIZATION HOLD

A valid payment card must remain on file for the reservation.

Approximately 48 hours before the event, the Venue may place a temporary $500 authorization hold on the authorized payment card.

The authorization hold is not an additional rental payment.

The Renter must maintain sufficient available credit or funds for the authorization. Failure to provide an acceptable payment method or allow the required authorization may result in Venue access being withheld until the requirement is satisfied.

Following the event and Venue inspection, the authorization will be released when no authorized charges are due.

The length of time required for a released authorization to disappear from the Renter’s account is determined by the Renter’s bank or card issuer.

To the extent permitted by law, payment-network rules, and the Renter’s authorization, the Venue may collect documented amounts properly due under this Agreement for matters including:

• Damage to the Venue, furniture, fixtures, or equipment


• Missing Venue property


• Excessive cleaning


• Unauthorized overtime


• Unpaid approved add-ons or upgrades


• Package reclassification amounts


• Reasonable repair or replacement costs


• Other documented amounts authorized by this Agreement

If amounts properly due exceed $500, the Renter remains responsible for the remaining balance.

5. ADDITIONAL VENUE ACCESS

Additional Venue Access may be purchased in advance, subject to availability and Venue approval.

1 Additional Hour: $229

2 Additional Hours: $399

Purchased additional access may be requested:

• Before the standard rental period


• After the standard rental period


• Split between before and after the standard rental period

The Venue must approve the final additional-access schedule.

Signature Event Rental — Saturday

Standard Saturday access ends at 11:00 PM.

One additional hour may be requested through 12:00 AM midnight.

A Renter purchasing two additional hours may request access through 1:00 AM.

Any Saturday event or Venue access extending beyond midnight requires advance approval from The Venue at Ruby’s.

The Renter must contact the Venue in advance and receive approval before planning to remain past midnight.

When access through 1:00 AM is approved, all guests, vendors, belongings, and event-related activity must be completely off the premises by 1:00 AM.

Purchased additional hours may also be used before the standard access period or split between earlier and later access, subject to Venue approval.

Signature Event Rental — Sunday

Standard Sunday access ends at 10:00 PM.

One additional hour may extend approved access through 11:00 PM.

Two additional hours may extend approved access through 12:00 AM midnight.

Sunday access may not extend beyond midnight unless expressly approved in writing by the Venue.

Wedding & Reception Experience

Additional Venue Access purchased for the Wedding & Reception Experience will be measured from the access period shown in the confirmed reservation.

Any wedding or reception access extending beyond midnight requires advance Venue approval.

No event may continue beyond 1:00 AM unless expressly agreed to in writing by The Venue at Ruby’s.

Payment for Additional Venue Access does not by itself guarantee a requested time. The final access schedule must be approved by the Venue.

6. UNAUTHORIZED OVERTIME

The Renter, guests, vendors, personal property, and all event-related activity must be completely off the premises by the approved contracted end time.

Unauthorized overtime will be charged at $349 per hour and may be calculated in 30-minute increments.

Unauthorized overtime charges may be collected from the authorized payment method or applicable security authorization hold to the extent permitted under this Agreement.

Payment of an overtime charge does not give the Renter the right to continue an event beyond the approved end time.

The Venue may require the immediate conclusion of an event that exceeds its approved time.

7. SETUP & RESET SERVICE

The optional Setup & Reset Service is $349.

Unless the Setup & Reset Service is purchased, the Renter is responsible for setting up and resetting Venue-provided tables and chairs within the contracted access period.

When the Setup & Reset Service is purchased, the Venue will arrange Venue-provided tables and chairs according to the approved floor plan and reset those tables and chairs following the event.

The Setup & Reset Service does not include:

• Décor installation or removal


• Linen placement or removal


• Centerpiece placement


• Vendor equipment setup


• Personal-item removal


• Catering cleanup


• General event cleanup


• Event coordination


• Event staffing

unless separately agreed to in writing.

8. SETUP, CLEANUP & TIME MANAGEMENT

Setup, decorating, vendor access, event activity, cleanup, and required reset must occur within the Renter’s approved access period unless additional access has been purchased and approved.

The Renter must leave enough time before the contracted end time to complete required cleanup.

Unless otherwise agreed in writing, the Renter is responsible for:

• Bagging and sealing all trash


• Removing all personal belongings


• Removing decorations


• Ensuring vendors remove their property and equipment


• Wiping surfaces as reasonably necessary


• Leaving the Venue in substantially the same condition in which it was received

Items left at the Venue for more than 10 days may be discarded or donated.

Excessive mess, damage, unauthorized Venue use, or failure to complete required cleanup may result in reasonable documented charges under this Agreement.

9. AGE & RESPONSIBILITY

The Renter must be at least 23 years old at the time of booking.

The Venue may require valid government-issued photo identification to verify the Renter’s identity and age.

The individual signing this Agreement is the responsible party for the event and is responsible for the conduct of all guests, vendors, contractors, and invitees.

The reservation may not be transferred, assigned, or subleased to another person or organization without written approval from The Venue at Ruby’s.

10. CAPACITY & USE OF PREMISES

The maximum permitted guest capacity is 150 persons.

The Renter may not exceed this capacity.

Children must be supervised at all times.

No pets are permitted except qualifying service animals.

Designated outdoor areas made available by the Venue may be used for approved event purposes.

Any courtyard, service area, landscaped area, or other location identified by the Venue as restricted remains off-limits unless specifically approved.

Outdoor spaces must be left clean and free from trash.

Food, grease, waste, liquids, or other materials may not be dumped into landscaping, drains, or outdoor areas.

Venue-provided tables or chairs may not be placed outdoors without Venue approval.

11. KITCHEN USE

The Venue kitchen is strictly intended for food warming, holding, staging, and service only.

Cooking of any kind is prohibited.

Active cooking is prohibited anywhere on the premises, including:

• Frying


• Deep-frying


• Grilling


• Baking


• Stovetop cooking


• Open-flame cooking


• Any other active cooking using heat-producing cooking equipment

The Renter is responsible for ensuring that caterers and vendors understand and comply with this policy.

12. TOWN ORDINANCES & NOISE

The Renter must comply with all applicable Town of Mount Pleasant ordinances and all applicable state and federal laws.

Outdoor amplified music must end by 9:00 PM on Friday and Saturday and 7:00 PM Sunday through Thursday, unless applicable law requires an earlier time.

The Venue may require outdoor music or other noise-producing activity to end earlier when reasonably necessary to comply with applicable law, Venue requirements, safety considerations, or neighborhood conditions.

Indoor event activity may continue through the Renter’s approved access period provided all applicable laws and Venue policies are followed.

13. PROHIBITED ITEMS & ACTIVITIES

The following are prohibited unless expressly approved in writing by the Venue:

• Fireworks


• Sparklers


• Fire pits


• Smoke or fog machines


• Open-flame devices


• Vehicles on grass, landscaped areas, or pedestrian walkways


• Confetti


• Glitter


• Nails


• Tacks


• Staples


• Glue


• Tape or other damaging adhesives


• Any activity reasonably likely to damage Venue property

Decorations may not damage walls, ceilings, floors, furniture, fixtures, or other Venue property.

Lobby and foyer furniture may not be moved without Venue approval.

14. ALCOHOL, SMOKING & VAPING

Smoking, vaping, and tobacco use are prohibited on the premises.

Alcohol is permitted indoors only and must be served responsibly.

If liquor is served, a licensed bartender is required.

The Venue may require security personnel or law-enforcement presence for certain events based on event size, alcohol service, risk factors, or other reasonable considerations.

The Renter is responsible for complying with all applicable alcohol laws, licensing requirements, and Venue policies.

15. EVENT INSURANCE REQUIREMENT

All Renters are required to obtain special event liability insurance covering the full duration of their event.

The Renter may use an insurance provider of their choice. However, The Venue at Ruby’s strongly prefers coverage through Renee Reese with Aleaf Insurance at (972) 866-4064, as Aleaf Insurance is familiar with the Venue’s insurance requirements and may help streamline the process.

The policy must:

• Provide a minimum of $1,000,000 in general liability coverage


• ListJSW Management LLC / The Venue at Ruby’sas an additional insured


• Reflect the event location as:

JSW Management LLC / The Venue at Ruby’s

Proof of insurance must be submitted to The Venue at Ruby’s no later than 10 days before the scheduled event date.

By signing this Agreement, the Renter authorizes Aleaf Insurance, if used by the Renter, to provide a copy of the applicable event insurance policy directly to The Venue at Ruby’s for verification purposes.

If the Renter uses another insurance provider, the Renter remains responsible for ensuring that acceptable proof of coverage is provided to the Venue by the required deadline.

Failure to provide the required insurance documentation at least 10 days before the event may result in Venue access being withheld or cancellation of the event in accordance with this Agreement.

Any refund or forfeiture of payments will be determined according to the applicable cancellation and refund provisions of this Agreement.

Events involving alcohol may also be required to carry appropriate liquor liability coverage when applicable. 16. ASSUMPTION OF RISK & RELEASE

The Renter understands that hosting and attending an event may involve ordinary risks, including risks associated with crowds, furniture, flooring, food and beverage service, alcohol consumption, decorations, vendors, equipment, and the actions of guests or third parties.

To the fullest extent permitted by applicable law, the Renter voluntarily assumes risks arising from the Renter’s event and from the acts or omissions of the Renter, guests, vendors, contractors, or invitees.

To the fullest extent permitted by law, the Renter releases and holds harmless The Venue at Ruby’s, JSW Management LLC, and their owners, representatives, employees, and agents from claims arising from risks created by the Renter, guests, vendors, contractors, or event activities, except to the extent such release is prohibited by applicable law.

Nothing in this Agreement is intended to waive liability that cannot legally be waived.

17. SECURITY & SURVEILLANCE

The Venue may require security personnel for certain events.

The Venue at Ruby’s may use video surveillance in common and event areas for safety, security, property protection, and liability purposes.

18. MAIN ENTRY DOORS

Exterior doors must remain closed except when actively loading or unloading.

Doors may not be propped open for ventilation, convenience, or extended periods without Venue approval.

19. WALKTHROUGHS & INSPECTIONS

The Venue may conduct reasonable pre-event and post-event inspections or walkthroughs.

The Renter agrees to cooperate with reasonable inspection procedures.

The Venue’s failure to conduct a walkthrough does not waive the Renter’s responsibility for damage, excessive cleaning, unauthorized overtime, or other obligations under this Agreement.

20. MISREPRESENTATION

The Renter must accurately disclose:

• Event type


• Anticipated guest count


• Alcohol service


• Wedding or marriage-related use


• Intended use of the Venue

Material misrepresentation may result in package reclassification, additional charges properly due under this Agreement, required security, or cancellation when reasonably necessary to protect the Venue or enforce this Agreement.

21. AIR-CONDITIONING INTERRUPTION

If a complete air-conditioning outage lasting at least two consecutive hours materially disrupts the event, the Venue will provide a 50% refund of the base rental fee provided that:

• The Renter reports the issue during the event


• Venue staff or a technician is given a reasonable opportunity to diagnose or resolve the issue

Temporary temperature fluctuations, localized equipment issues, or conditions outside the Venue’s reasonable control do not automatically qualify for this remedy.

22. CANCELLATION & REFUNDS

The applicable reservation payment becomes non-refundable 48 hours after successful payment.

For the Signature Event Rental, the reservation payment is $799.

For the Wedding & Reception Experience, the reservation payment is $899.

More Than 90 Days Before the Event

The Renter may cancel and receive a refund of eligible payments made, excluding the applicable non-refundable reservation payment.

60 to 90 Days Before the Event

The Renter may cancel and receive a 50% refund of eligible payments made, excluding the applicable non-refundable reservation payment.

Less Than 60 Days Before the Event

No refunds will be issued.

Non-refundable add-ons and services already performed are excluded from refund calculations.

23. RESCHEDULING

One date transfer may be permitted, subject to availability, if requested at least 90 days before the original event date.

A $150 rescheduling fee applies.

Additional date changes are not guaranteed.

If the Renter transfers to a date carrying different pricing, including an applicable peak or holiday date, the Renter is responsible for the applicable price difference.

24. PEAK & HOLIDAY PRICING

Certain high-demand dates, holiday dates, or designated peak dates may carry an additional surcharge.

Any applicable surcharge must be disclosed to the Renter and reflected in the confirmed reservation price before the reservation for that date is finalized.

No peak or holiday surcharge will be added after confirmation solely because the Venue later changes its general pricing.

If the Renter voluntarily transfers the reservation to a date carrying a higher applicable price, the Renter is responsible for the difference.

25. FORCE MAJEURE & VENUE-INITIATED CANCELLATION

If circumstances beyond the Venue’s reasonable control make the premises unavailable or unsafe for the scheduled event, including natural disasters, government restrictions, serious building conditions, or similar circumstances, the Venue may offer a mutually acceptable replacement date.

If the Venue cannot provide the contracted premises and no mutually acceptable replacement date can be arranged, amounts paid directly to the Venue for the cancelled rental will be refunded.

The Venue is not responsible for independent losses involving vendors, catering, travel, lodging, entertainment, rentals, or other third-party expenses.

26. GOVERNMENT-ISSUED IDENTIFICATION

The Renter must provide valid government-issued photo identification upon request and no later than the deadline established by the Venue.

Failure to provide required identification may result in Venue access being withheld until identity and age requirements are verified.

27. PAYMENT AUTHORIZATION

The Renter authorizes the Venue and its payment processor to maintain an authorized payment method on file in connection with the reservation.

To the extent permitted by applicable law, payment-network rules, and the Renter’s authorization, the Venue may collect amounts properly due under this Agreement, including:

• Approved add-ons


• Documented damage


• Reasonable repair or replacement costs


• Excessive cleaning


• Unauthorized overtime


• Package reclassification amounts


• Other amounts expressly authorized under this Agreement

The Venue will not intentionally charge amounts that are not properly due or authorized.

28. INDEMNIFICATION

To the fullest extent permitted by law, the Renter agrees to indemnify and hold harmless JSW Management LLC / The Venue at Ruby’s, and their owners, representatives, employees, and agents from claims, damages, liabilities, costs, or expenses arising from the Renter’s event, guests, vendors, contractors, or use of the premises, except to the extent indemnification is prohibited by applicable law.

29. GOVERNING LAW

This Agreement shall be governed by the laws of the State of South Carolina.

Any legal proceeding arising from this Agreement shall be brought in a court of competent jurisdiction serving the county in which The Venue at Ruby’s is located, unless applicable law requires otherwise.

30. ENTIRE AGREEMENT

This Agreement, together with:

• The Renter’s confirmed booking details


• Selected add-ons


• Approved access schedule


• Venue policies


• Written amendments accepted by both parties

constitutes the agreement between The Venue at Ruby’s and the Renter concerning the reservation.

No verbal statement modifies this Agreement unless confirmed in writing by the Venue.

If any provision of this Agreement is determined to be unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

ACKNOWLEDGMENT

By signing this Agreement, the Renter confirms that the Renter has read and understands the Agreement in full.

The Renter specifically acknowledges and agrees that:

• The Renter must be at least 23 years old


• Maximum Venue capacity is 150 persons


• The applicable reservation payment becomes non-refundable after 48 hours


• Signature Event Rental reservation payment is $799


• Wedding & Reception Experience reservation payment is $899


• A $500 security authorization hold may be required approximately 48 hours before the event


• The remaining balance is based on the confirmed booking total less the applicable reservation payment


• Setup, cleanup, and reset must occur within the approved access period


• Additional Venue Access must be purchased and approved in advance


• Saturday access extending beyond midnight requires advance Venue approval


• Unauthorized overtime is charged at $349 per hour


• Cooking is prohibited on the premises


• Special event liability insurance with at least $1,000,000 in general liability coverage must be provided at least 10 days before the event


• If liquor is served, a licensed bartender is required


• The Signature Event Rental may not be used for weddings or wedding receptions


• The Renter is responsible for the conduct of guests, vendors, contractors, and invitees


Completing and signing this Agreement alone does not reserve the event date. The reservation becomes confirmed only after this Agreement has been completed and the applicable reservation payment has been successfully received: $799 for the Signature Event Rental or $899 for the Wedding & Reception Experience.
